Placing orders constitutes acceptance of all terms and conditions stated below.
References to "WirelessGalaxy" herein after refer to Wireless Galaxy, LLC., its affiliates and its subsidiaries.
Sales Terms
Wholesale sales only.
- All customers must provide Sales Tax Resale Number indicating exempt status.
- All customers must provide Federal Identification Number.
- All merchandise sold with the intention of resale by the purchaser.
- All customers are responsible for any and all state and/or federal taxes or other similar sales or use taxes arising from customer's purchase. WirelessGalaxy is not responsible for any taxes associated with any sale to You or on Your behalf. You agree to indemnify and hold WirelessGalaxy harmless for any and all tax liabilities that may arise from any purchase You make or Your customer makes through WirelessGalaxy.
WirelessGalaxy requires the following information to ship orders:
- Completed and signed new account credit application.
- Valid sales tax resale certificate or a signed Multi-State Sales Tax Exemption and Resale Certificate.
- Verification and validation that the customer's business is an industry-related business in good standing.
Shipments cannot be released until the above qualifiers are attained. First-time orders will be expedited when accompanied by a qualified resale certificate and new account credit application. WirelessGalaxy requires no minimum order. Orders received by 6:00 p.m. CST will be shipped same-day for qualifying customer types. WirelessGalaxy is subject to the carrier's pick-up availability. Exclusions from same-day shipping by 6:00 p.m. CST could include, but are not limited to:
- Out of stock product
- Special orders
Add-on orders will be considered new orders and processed accordingly.
Special Orders
If a customer requests a non-stock item, such request must be made in writing via the Special Order Request form, accompanied by a fifty percent (50%) deposit, paid by the customer's credit card. Upon receipt of such funds, WirelessGalaxy will place the order with the manufacturer. Upon shipment of the goods, the remaining charges, including merchandise, freight, etc., will be charged to the customer's credit card. The remaining charges may also be added to a C.O.D. certified funds tag and shipped collect, at the customer's request. Special orders are not eligible for returns or cancellations.
Fulfillment Program
WirelessGalaxy offers a fulfillment program for E-Commerce customers. WirelessGalaxy provides blind drop-ship services for approved retailers who have signed a Fulfillment Services Agreement. These orders ship from WirelessGalaxy without identifying marks directly to retailers' customers for a fee of $3.00 per order plus applicable freight charges and accessorial fees. Tracking information is supplied for each drop-shipped order on the following business day. Policies outlined in the Fulfillment Services Agreement could supersede policies listed in these terms and conditions.
Payment Terms
After all qualifiers are met to become a WirelessGalaxy customer as stated in the terms above, WirelessGalaxy has the following payment terms available:
- All net terms are calculated from invoice date.
- A 1.5% monthly finance charge will be added to all past due invoices.
- No shipments will be made on any past due accounts.
- Any account that becomes delinquent is automatically changed to C.O.D. terms. Such account will be sent for collections, and the customer is responsible for all collection charges and/or attorney fees.
- C.O.D. certified funds are accepted via bank-issued cashier's check or money order for new customers. Drop ship and special order items are not available to customers under these payment terms. COMPANY CHECKS ARE NOT ACCEPTED WITHOUT CREDIT APPROVAL.
- C.O.D. company checks are accepted pending approval of a completed and signed credit application. Allow two weeks for processing of all credit applications.
- Net terms are available pending approval of a completed and signed credit application. For higher net term limits, current financial statements are required. Allow two weeks for processing of all credit applications.
- Major credit cards are accepted, including Visa, MasterCard, Discover & American Express. Such credit terms require a signed Credit Card Authorization on file. WirelessGalaxy may charge any and all credit cards You provide WirelessGalaxy as method of payment for any and all open invoices at any time, regardless of the payment terms for which You were established. You represent that any credit cards provided are valid for use by WirelessGalaxy to secure payment for any and all balances due and owing.
- EFT and wire transfers are accepted. Please contact WirelessGalaxy's accounting department at 866-719-6292 for instructions.
- A $25.00 returned check charge will be assessed for any check returned for any reason.
- If You attempt to resolve any dispute for amounts owed by sending WirelessGalaxy a check or draft endorsed with "Payment in Full" or similar restrictive endorsement, You must send that check or draft together with an explanation to the attention of the Credit Manager, Wireless Galaxy, LLC., P.O. Box 6190, Edmond, OK 73083. Failure to do so will negate any such endorsement and is specifically rejected by WirelessGalaxy whether WirelessGalaxy accepts the check or draft and reserves all rights to collect any sums due and owing regardless of endorsement.
- WirelessGalaxy is compliant with Payment Card Industry (PCI) Data Security Standards and all required information You provide with regard to any credit card transactions will be handled and protected pursuant to these security standards.
Freight Terms
Standard ground freight will be prepaid on all wholesale electronics orders in excess of $850 shipped to a single destination in the continental United States. A 3% freight allowance will be applied to all orders over $850 shipped to one location in Alaska, Hawaii, Puerto Rico, Canada or Mexico. The maximum dollar amount of office machines, tape products, batteries, moving supplies, A/V mounts over 50 lbs, 13"+ televisions /LCDs, furniture, home theater kits, metal/wood products, bulk wiring products, observation/security systems, surge/UPS systems, power inverters, structured wire enclosures, floor-standing/tower speakers, central vacuum systems and central vacuum components may not exceed 50% of total order in either circumstance. Speaker boxes, projector screens, air conditioners and 14" or larger observation monitors and systems are excluded from prepaid freight programs. Certain restrictions apply which exclude additional products from this free freight program. C.O.D. fees and surcharges are not, for any reason, prepaid, regardless of freight qualifications. If an order originally qualified for prepaid freight, one backorder from the original order will be shipped with prepaid freight. All other subsequent backorders are subject to normal shipping and handling policies.
Shipments not qualifying for free freight are subject to shipping rates, accessorial surcharges and other fees as applicable. Additional charges could also be assessed that may include fuel surcharges and dimensional/oversize fees, when required by carriers' regulations. All such charges as mentioned herein, along with any insurance costs, are calculated and added to the invoice total and are non-refundable. Should You, WirelessGalaxy's customer, request Your order be shipped to Canada and/or Mexico, WirelessGalaxy is neither responsible nor liable for any taxes, duties, fees, or other charges that may be associated with the processing of such North American Free Trade Agreement shipments. All such charges and requirements are the sole responsibility of the customer. You may receive a separate invoice for these charges from a freight forwarder, UPS, or other third party. If an order is refused for any reason, WirelessGalaxy will be compensated for all shipping charges, including any C.O.D. fees, as well as a 15% restock fee. Such compensation must be received before any other orders are released for the customer.
All orders are shipped FOB Edmond, OK. Damages are the responsibility of the carrier once the shipment is delivered to the carrier. Customers must make damage claims directly to the carrier within 10 days of receipt of the order. All boxes and packaging material are necessary when filing a claim. Contact a WirelessGalaxy customer service representative at 800-443-6975 for assistance. WirelessGalaxy recommends that highly fragile products are opened prior to accepting shipment. All shipping/pricing discrepancies must be reported within 5 business days of receipt of order.
Returns
All products sold by WirelessGalaxy , LLC. are sold with, to the extent that such warranties exist and are transferable, the manufacturer's limited warranty.
Please read all warranty material carefully as the warranty period, service and transferability varies by manufacturer and product. All returns require a Return Goods Authorization ("RA") signed by an authorized WirelessGalaxy representative.
Please call a WirelessGalaxy customer service representative at 800-443-6975 for an RA number. Returns without this authorization will not be accepted. RAs are effective for 60 days only. The RA number must be printed clearly on outside of the carton, and all products must be securely protected in double packaging. If the RA number is not visible, the shipment may be refused. If shipping labels are placed on or RA numbers written on the manufacturer's boxes, the product will not be in resalable condition, and, in turn, will not be eligible for return. All original packaging and materials must be returned with the product.
All returns must be returned to WirelessGalaxy with freight PREPAID. Damaged and defective product replacements will be sent with no freight expense to the customer. All non-defective returns will be assessed a 15% restock fee within 90 days of purchase and will only be accepted in resalable condition with all original packaging. Freight charges will not be refunded. Defective product can be returned to WirelessGalaxy within 30 days of sale. After 30 days, defective product must be returned to the manufacturer, under the specific warranty allowances. Upon receipt and acceptance of returned items, WirelessGalaxy will credit the customer's account for merchandise costs. No cash refunds will be allowed. Credit on account will be issued for the amount paid on the original invoice.
The following items are not eligible for return:
- Special orders, closeout items and discontinued items.
- Items for which manufacturers will not accept returns.
- Items showing obvious signs of misuse, consumer abuse or commercial use.
- Color copiers, printers, fax machines, toner cartridges and consumables.
Please allow one week for return processing. Returns will not be accepted 90 days after sale, regardless of reason.
Inactive Accounts
All accounts with no activity for six months or greater will be subject to a monthly service charge. All accounts with no activity for 12 months or greater will be closed. In order to reactivate the account, a new credit application will be required.
The preceding information is for the purpose of obtaining credit and is warranted to be accurate and complete. I/We hereby authorize WirelessGalaxy to investigate all references and customary credit information sources, including consumer credit reporting services, regarding my/our credit and financial responsibility for the purpose of obtaining credit and for periodic review for the purpose of maintaining the credit relationship.
CREDIT POLICY: Statements are rendered as of the last day of the month. COD restrictions may be placed on any past due account.
CREDIT TERMS: All net account invoices are due thirty(30) days from invoice date. A service charge of one and one half percent (1.5%) per month, or the highest legal rate, which ever is less, may be assessed on delinquent invoices.
VENUE: All invoices are payable to WirelessGalaxy , LLC. at P.O. Box 960130, Oklahoma City, OK 73196-0130. This agreement is governed by Oklahoma law. ANY LEGAL PROCEEDING WITH RESPECT TO THIS AGREEMENT SHALL BE BROUGHT ONLY IN THE DISTRICT COURT OF OKLAHOMA COUNTY, OKLAHOMA OR THE UNITED STATES DISTRICT COURT FOR THE WESTERN DISTRICT OF OKLAHOMA.
CHANGE OF OWNERSHIP: I/We understand that we must notify WirelessGalaxy , LLC. in writing and by certified mail of any change in ownership or the name of the business under which credit is established. In the event of default, and if this account is turned over to an agency, attorney and/or other third party for collection, the undersigned agrees to pay all reasonable attorneys' fees, and/or costs of collection, whether or not suit if filed.
I/We certify that this request is for the extension of credit for business purposes only and not for the extension of credit for personal, family or household purposes.
APPLICANT'S SIGNATURE ATTESTS FINANCIAL RESPONSIBILITY, ABILITY AND WILLINGNESS TO PAY IN ACCORDANCE WITH ABOVE TERMS.
Electronic Signature
(1) ELECTRONIC SIGNATURE.—the term "electronic signature" or "E-Signature" means a method of signing an electronic message that— (A) identifies and authenticates a particular person as the source of the electronic message; and (B) indicates such person's approval of the information contained in the electronic message. You consent and agree that your use of a key pad, mouse or other device to select an item, button, icon or similar act/action while using any electronic service we offer; or in accessing or making any transactions regarding any agreement, acknowledgment, consent, terms, disclosures or conditions constitutes your signature, acceptance and agreement as if actually signed by you in writing and further acknowledge and agree that the taking of any such actions by you evidence your intent to sign any such document. You also agree that no certification authority or other third party verification is necessary to the validity of your electronic signature; and that the lack of such certification or third party verification will not in any way affect the enforceability of your signature or any resulting contract between you WirelessGalaxy.
Additional Terms
WirelessGalaxy has the option to substitute any item on backorder for a comparable item of equal or greater value. Backorders are shipped automatically. Customers must call in advance to cancel a backorder. Backorders less than $10 are automatically deleted so the customer must be sure to include them on the next order. WirelessGalaxy is not responsible for typographical errors or erroneous data in publications, Web site or any other media platform. Please note that items ordered may not be exactly as pictured in the catalog, Web site or promotional piece. Prices are subject to change without notice.

Trademarks
WirelessGalaxy trademarks may not be used in connection with any product or service that is not authorized by WirelessGalaxy, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits WirelessGalaxy, its affiliates and its subsidiaries. All other trademarks and trade names that appear on WirelessGalaxy publications or the WirelessGalaxy Web site, www.wirelessgalaxy.com, and "Your Accessory Source" are the property of their respective owners and may not be reproduced, copied or manipulated in any manner without the expressed, written approval of the trademark owner. All content included on or comprising all WirelessGalaxy publications or the WirelessGalaxy Web site including information, data, photographs, videos, typefaces, graphics, music, sounds and other material is protected by copyright, trademark, patent or other proprietary rights, and these rights are valid and protected in all forms, media and technologies existing now or developed in the future. All content is copyrighted as a collective work under the U.S. and international copyright laws, and WirelessGalaxy owns, to the fullest extent allowed by such laws, the copyright in the selection, coordination, arrangement and enhancement of all content.
Information/Privacy
Providing WirelessGalaxy with contact information (phone, email, fax number and mailing address) authorizes WirelessGalaxy to contact the customer through mailings, email, fax and phone. WirelessGalaxy believes in protecting customers' private information. WirelessGalaxy will not give away, sell, rent or lease customers' personal information to any third party.
